Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the advisory services provided by Budiman ("we", "us", "our"), operated from No. 33, Jalan Sungai Besi, 57100 Kuala Lumpur, Malaysia. By enquiring about or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

By submitting an enquiry form, booking a session, or making payment for a Service, you confirm that you have read, understood, and agree to these Terms. If you are engaging our Services on behalf of a business, you confirm that you have authority to bind that business to these Terms.

Our Services are intended for adults aged 18 and above. By engaging with us, you confirm that you are at least 18 years of age or have the legal capacity to enter into a binding agreement under Malaysian law.

3. Service Description

Budiman provides business advisory services for small business owners. Our current programmes are:

All sessions are conducted in English or Bahasa Malaysia, at our office or via an agreed remote channel. Session scheduling is subject to mutual availability. We will endeavour to accommodate reasonable rescheduling requests made with at least 48 hours notice.

Our services are currently available to clients based in Malaysia. We reserve the right to decline engagement at our discretion.

4. Client Responsibilities

To help us provide a useful service, you agree to:

A session cancelled with less than 24 hours notice, or not attended without prior notice, may be counted as used under the applicable programme.

5. Intellectual Property

All written deliverables, frameworks, templates, and advisory materials provided by Budiman remain our intellectual property unless explicitly transferred in writing. We grant you a non-exclusive, non-transferable licence to use deliverables for the internal purposes of your own business.

You may not reproduce, resell, or distribute our materials to third parties without prior written consent. This restriction does not apply to your own business records and notes taken during sessions, which belong to you.

7. Confidentiality

We treat all information shared by clients in advisory sessions as confidential. We will not disclose your business information to any third party without your written consent, except where required by law.

We may refer to anonymised, generalised outcomes of our advisory work (e.g. "a retail client in Kuala Lumpur") for illustrative purposes without identifying you. If you would prefer we do not use your experience in any form, please let us know in writing and we will respect that preference.

8. Disclaimers

Our advisory services reflect our professional observations and considered suggestions based on the information you share with us. They do not constitute legal, financial, accounting, or regulatory advice. You should consult an appropriately qualified professional for matters requiring such expertise.

We do not make specific representations about business outcomes. Advisory guidance is offered in good faith based on available information; the application of that guidance and any resulting outcomes remain the responsibility of the client.

9. Limitation of Liability

To the fullest extent permitted by Malaysian law, Budiman's total liability to you for any claim arising from or related to our Services shall not exceed the total fees paid by you for the relevant programme in the preceding three months.

We shall not be liable for any indirect, consequential, or incidental loss arising from your use of our Services, including loss of revenue, business opportunity, or data. Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

10. Termination

Either party may terminate an ongoing programme with 30 days written notice. We reserve the right to withdraw from an engagement immediately if a client acts in a manner that is threatening, dishonest, or contrary to these Terms.

Upon termination, all fees owed for sessions already delivered become immediately payable. Clauses relating to confidentiality, intellectual property, and limitation of liability survive termination.

11. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of any dispute, both parties agree to first attempt resolution through direct, good-faith discussion. If the matter cannot be resolved within 30 days, either party may refer the dispute to mediation before the Malaysian Mediation Centre.

If mediation does not resolve the matter, disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

13. Changes to These Terms

We may update these Terms from time to time. We will give you at least 14 days notice of any material change — by email if you are a current client, or by updating the effective date above. Continued use of our Services after the notice period constitutes acceptance of the updated Terms.
